Michel J. DeBottisprovides a broad range of legal services for our business clients. He represents or has represented sole proprietorships, partnerships, closely held corporations, professional limited liability companies, professional corporations, not-for-profit corporations, banks, substantial regional employers, as well as national and international business entities.
Michel serves as General Counsel to several business, professional and not-for-profit entities, handling a diverse spectrum of legal matters. He taught Business Law as an Adjunct Professor at the Syracuse University School of Management.

Business formation and structuring of S-Corporations and Limited Liability Companies and Partnerships; including preparation and filing of all necessary documents with the Secretary of State, counseling business in the governance of their entities, drafting By-Laws, Operating Agreements, Minutes of Meetings, etc.
Contract review, negotiation and drafting for a wide variety of business transactions and relationships.
Representing businesses and individuals in the purchase and sale of business assets, business properties and other business interests, acquisitions and divestitures of ownership interest in business entities.
Transactional services involving commercial lending, government bond financing as well as asset based secured lending.
Litigation of contract disputes, corporate or partnership claims, shareholder direct and derivative claims, claims arising from promissory notes, negotiable instruments and secured transactions, UCC claims and other commercial claims.
Enforcement of rights, duties and remedies afforded commercial buyers and sellers by the Sales Article of the Uniform Commercial Code.
